The term "over the counter" or "OTC" refers to all securities trading which occurs outside of regulated securities exchanges. In its simplest form, over the counter trading involves direct trade in securities between two or more investors. Over the counter trading may be performed using physical paper certificates, specialized electronic trading platforms or through specialized OTC brokers.
